These terms govern your use of OwnerCompass. Please read them carefully.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legal agreement between you and OwnerCompass ("we," "our," or "us") governing your use of the OwnerCompass platform (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

OwnerCompass is a business continuity and organisation platform that helps business owners:

  • Store and organise business documents securely
  • Manage business contacts and relationships
  • Track business valuations (Business Valuation tier)
  • Generate buyer-ready data rooms (Business Valuation tier)
  • Provide emergency executor access to business information

We offer two subscription tiers:

  • Business Continuity (£29/month): Document organisation, contact management, emergency access
  • Business Valuation (£99/month): All Business Continuity features plus quarterly valuations and data room generation

The Service is provided on an "as is" and "as available" basis. We continuously work to improve the Service but do not guarantee it will always be available or error-free.

3. Account Registration

To use the Service, you must create an account by providing:

  • Your name
  • Email address
  • Password
  • Company information (for Business Valuation tier)

You agree to:

  • Provide accurate and complete information
  • Keep your account information up to date
  • Maintain the security of your password
  • Not share your account credentials
  • Notify us immediately of any unauthorised access

You are responsible for all activity that occurs under your account.

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service.

4. Subscription and Billing

4.1 Subscription Plans

We offer two subscription plans. Current pricing is available on our Pricing page.

  • Business Continuity: Document organisation, contact management, emergency access
  • Business Valuation: All Business Continuity features plus quarterly valuations and data room generation

Monthly plans are billed monthly in advance. Annual plans are billed annually in advance.

4.2 Payment

Payment is processed securely through Stripe. By providing payment information, you authorise us to charge your payment method for all fees incurred.

If payment fails:

  • We'll notify you by email
  • Your access may be suspended until payment is received
  • We may retry charging your payment method

You're responsible for all applicable taxes.

4.3 Price Changes

We may change our prices at any time. For existing subscribers:

  • We'll provide at least 30 days' notice of price increases
  • The new price applies from your next billing cycle
  • You may cancel before the increase takes effect

4.4 Refunds

We do not provide refunds for partial subscription periods. If you cancel, your access continues until the end of your current billing period.

Exceptions may be made at our discretion for technical issues that prevented you from using the Service.

5. Free Trial

All subscription plans include a 14-day free trial. During the trial:

  • You have full access to your chosen plan's features
  • No payment is required to start
  • You can cancel at any time during the trial

If you don't cancel before the trial ends, you'll be charged for your first billing period according to the plan you selected.

Free trials are available once per customer.

6. Your Content

6.1 Ownership

You retain all ownership rights to the content you upload to the Service ("Your Content"), including:

  • Business documents
  • Contact information
  • Business data
  • Any other information you provide

We do not claim any ownership of Your Content.

6.2 Licence to Us

By uploading content, you grant us a limited licence to:

  • Store and display Your Content as necessary to provide the Service
  • Process Your Content to provide features (e.g., extracting information for valuations)
  • Back up Your Content for data protection

This licence ends when you delete Your Content or close your account.

We will not:

  • Share Your Content with third parties (except as described in our Privacy Policy)
  • Use Your Content for purposes other than providing the Service
  • Train AI models on Your Content

6.3 Your Responsibilities

You are responsible for:

  • The accuracy and legality of Your Content
  • Ensuring you have rights to upload Your Content
  • Maintaining your own backups of important content

You agree not to upload content that:

  • Infringes intellectual property rights
  • Contains malware or malicious code
  • Is illegal or violates any laws

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorised access to our systems
  • Interfere with or disrupt the Service
  • Upload viruses, malware, or malicious code
  • Scrape or harvest data from the Service
  • Reverse engineer or decompile the Service
  • Resell or redistribute the Service
  • Use the Service to spam or send unsolicited communications
  • Impersonate others or misrepresent your identity
  • Violate any applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these terms.

8. Service Availability

We strive to provide reliable Service but cannot guarantee:

  • Uninterrupted access (maintenance, updates, technical issues may occur)
  • Error-free operation (software may contain bugs)
  • Specific uptime percentages

We will:

  • Perform scheduled maintenance during off-peak hours when possible
  • Notify you of planned maintenance in advance when feasible
  • Work to resolve issues promptly

The Service is provided "as is" and "as available" without warranties of any kind.

9. Limitation of Liability

To the maximum extent permitted by law:

The Service is provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We are not liable for:

  • Loss of profits, revenue, data, or business opportunities
  • Indirect, incidental, or consequential damages
  • Damages resulting from unauthorised access to your account
  • Service interruptions or technical issues
  • Third-party actions or content

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under UK law

You are responsible for:

  • Maintaining your own backups of important content
  • Implementing appropriate security measures for your account
  • Your use of information obtained from the Service (including business valuations)

10. Termination

10.1 Cancellation by You

You may cancel your subscription at any time from your account settings.

Upon cancellation:

  • Your access continues until the end of your current billing period
  • No refunds for partial periods
  • After your billing period ends, your account enters a 90-day retention window
  • During this window your data is retained but your access is restricted
  • You will receive email reminders before permanent deletion
  • After 90 days, all data is permanently deleted

10.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails and remains unpaid
  • Your account is used for illegal activities
  • Required by law

We'll provide notice when possible, except in cases of serious violations.

10.3 Effect of Termination

Upon termination:

  • Your access to the Service ends immediately (or at end of billing period if you cancel)
  • Your data will be deleted according to our Privacy Policy
  • You remain responsible for any outstanding fees
  • Sections of these Terms that should survive (e.g., liability limitations) continue to apply

11. Changes to Terms

We may update these Terms from time to time.

When we make changes:

  • We'll update the "Last updated" date at the top
  • For material changes, we'll notify you by email
  • Your continued use of the Service constitutes acceptance
  • You may terminate your account if you don't agree with changes

We recommend reviewing these Terms periodically.

12. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
